Welcome to Cinea.ai, a platform operated by Malachi Media, LLC, an Illinois limited liability
company (“Cinea,” “Malachi Media,” “we,” “us,” or “our”). These Terms of Service (“Terms”)
govern your access to and use of the Cinea.ai website, platform, and services (collectively, the
“Service”), including the browsing, purchase, and use of prompts, images, videos, and other
digital assets made available through the Service (“Products”).
By accessing or using the Service, creating an account, or making a purchase, you agree to be
bound by these Terms. If you do not agree, do not use the Service.

1. Eligibility

You must be at least 18 years old, or the age of majority in your jurisdiction, to use the Service.
By using the Service, you represent that you meet this requirement and that you have the legal
capacity to enter into these Terms.

Usage data: pages viewed, products browsed or purchased, time spent on the Service, referring/exit pages, and interaction with prompts or assets
Device and technical data: IP address, browser type, operating system, device identifiers
Cookies and similar technologies: as described in our [Cookie Policy], which is incorporated into this Privacy Policy by reference

2. Description of Service

Cinea.ai is a digital marketplace that offers:

Prompts — text-based instructions designed to be used with third-party AI image and video generation tools to produce visual outputs.
Image Assets — pre-generated or curated still images available for purchase and download.
Video Assets — pre-generated or curated video files available for purchase and download.

Cinea.ai is not affiliated with, and does not guarantee compatibility with, any specific third-party AI generation tool or platform. Results generated using our prompts may vary depending on the tool, model, version, or settings used by the customer.

3. Accounts

We use the information we collect to:

Create and manage your account
Process purchases and deliver purchased Products (prompts, image assets, video assets)
Provide customer support and respond to inquiries
Send transactional communications (order confirmations, receipts, account notices)
Send marketing communications, where you have opted in, and in compliance with applicable law (e.g., CAN-SPAM)
Improve, secure, and maintain the Service
Detect, investigate, and prevent fraud, abuse, or violations of our Terms of Service
Comply with legal obligations

3. Accounts

Cinea.ai is a digital marketplace that offers:

Prompts — text-based instructions designed to be used with third-party AI image and video generation tools to produce visual outputs.
Image Assets — pre-generated or curated still images available for purchase and download.
Video Assets — pre-generated or curated video files available for purchase and download.

4. Products and Purchases

4.1 Product Descriptions

We strive to accurately describe all Products, including what each prompt is intended to generate, and what each image/video asset depicts. However, we do not guarantee that descriptions are error-free, complete, or current at all times.

4.2 Pricing

All prices are listed in United States Dollars and are subject to change without notice. The price charged will be the price displayed at the time of purchase.

4.3 Payment

Payments are processed through our third-party payment processor. By making a purchase, you agree to provide accurate payment information and authorize us (via our payment processor) to charge your chosen payment method for the total amount of your order.

4.4 Digital Delivery

Products are delivered electronically. No physical goods are shipped. Access to purchased Products is typically granted immediately upon successful payment, via download or account access.

5. License Grant and Intellectual Property

This section governs what you may and may not do with Products purchased through Cinea.ai.

5.1 Ownership

Unless otherwise stated, Malachi Media, LLC and/or its licensors retain all right, title, and interest in and to the Products, including all associated intellectual property rights. Purchasing a Product grants you a license to use it as described below — it does not transfer ownership of the underlying Product to you.

5.2 License Grant

Subject to your compliance with these Terms and full payment, Cinea.ai grants you a non-exclusive, non-transferable, [worldwide / territory-limited] license to use purchased Products as follows:

Prompts: You may use purchased prompts to generate outputs using third-party AI tools, for [personal and/or commercial] purposes as specified on the applicable product listing at checkout.
Image and Video Assets: You may use purchased image/video assets for [personal and/or commercial] purposes as specified on the applicable product listing at checkout, including in marketing materials, social media, products, and other applications, subject to the restrictions below.

5.3 Restrictions

Unless expressly permitted under the applicable license tier, you may not:

Resell, sublicense, redistribute, or share purchased prompts or assets as standalone Products (i.e., you may not resell a prompt you purchased from Cinea as your own prompt on another platform)
Claim sole authorship or original creation of a prompt itself
Use Products in any way that infringes on third-party rights, or that is unlawful, defamatory, obscene, or otherwise objectionable
Use Products to train, fine-tune, or benchmark competing AI models or datasets, unless explicitly authorized
Remove or alter any copyright, trademark, or proprietary notices included with a Product

5.4 Outputs Generated From Prompts

Because prompts are instructions used with third-party AI tools, Cinea.ai does not control, and cannot guarantee, the specific output any customer will receive. Ownership and usage rights of AI-generated outputs may also be subject to the terms of the third-party AI tool used to generate them. You are responsible for reviewing and complying with the terms of any third-party AI platform you use in conjunction with our prompts.

6. AI-Generated Content Disclaimer

Some or all Products offered on Cinea.ai may be generated in whole or in part using artificial intelligence tools.
AI-generated content may unintentionally resemble other existing works, other users’ outputs, or content generated by other customers using similar prompts. Cinea.ai does not guarantee the uniqueness, originality, or exclusivity of any Product or any output generated from a Product.
ai makes no representations or warranties regarding the accuracy, appropriateness, or fitness for a particular purpose of any AI-generated Product.
You are solely responsible for reviewing generated content and outputs before using them for any commercial, published, or public-facing purpose, including verifying compliance with applicable laws (e.g., advertising standards, right of publicity, trademark) in your jurisdiction.

7. Acceptable Use

You agree not to use the Service to:

Violate any applicable law or regulation
Infringe the intellectual property, privacy, or other rights of any third party
Upload or generate content that is unlawful, harmful, threatening, abusive, harassing, defamatory, or obscene
Attempt to gain unauthorized access to the Service, other user accounts, or Cinea’s systems
Interfere with or disrupt the integrity or performance of the Service
Use automated means (bots, scrapers) to access the Service without our prior written consent

We reserve the right to remove content, suspend accounts, or restrict access for violations of this section.

8. Refunds and Cancellations

Refunds and cancellations are governed by our separate [Refund & Cancellation Policy], which is incorporated into these Terms by reference. Given the nature of digital goods, refund eligibility may be limited — please review that policy carefully before purchasing.

9. Third-Party Tools and Links

The Service may reference, link to, or be designed for use with third-party AI generation tools and platforms. Cinea.ai does not control and is not responsible for the content, policies, availability, or practices of any third-party tool or website. Your use of any third-party tool is governed by that third party’s own terms.

10. Disclaimer of Warranties

THE SERVICE AND ALL PRODUCTS ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY PROMPT WILL PRODUCE ANY PARTICULAR OUTPUT WHEN USED WITH A THIRD-PARTY AI TOOL.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MALACHI MEDIA, LLC AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, ARISING OUT OF YOUR USE OF THE SERVICE OR ANY PRODUCTS. IN NO EVENT SHALL MALACHI MEDIA, LLC’S TOTAL LIABILITY TO YOU FOR ALL CLAIMS EXCEED THE AMOUNT YOU PAID IN THE [SIX (6)] MONTHS PRECEDING THE CLAIM.

12. Indemnification

You agree to indemnify, defend, and hold harmless Malachi Media, LLC and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to your use of the Service, your violation of these Terms, or your infringement of any third-party rights.

13. Termination

We may suspend or terminate your access to the Service at any time, with or without notice, for conduct that we believe violates these Terms or is harmful to other users, us, or third parties. Upon termination, your right to use the Service will immediately cease; however, licenses already granted for previously purchased Products will survive termination, subject to your continued compliance with the applicable license restrictions.

14. Changes to These Terms

We may update these Terms from time to time. We will post the revised Terms on this page and update the “Last Updated” date. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.

15. Governing Law and Dispute Resolution

These Terms shall be governed by the laws of Illinois, United States of America, without regard to its conflict of law principles. Any disputes arising under these Terms shall be resolved in the courts located in Illinois.

16. Miscellaneous

Entire Agreement: These Terms, together with our Privacy Policy, Cookie Policy, and Refund & Cancellation Policy, constitute the entire agreement between you and Cinea.ai regarding the Service.
Severability: If any provision of these Terms is found unenforceable, the remaining provisions will remain in full force and effect.
No Waiver: Our failure to enforce any right or provision of these Terms will not be considered a waiver of that right or provision.
Assignment: You may not assign or transfer these Terms without our prior written consent. We may assign these Terms without restriction.
